1. Acceptance of Terms

1.1 By accessing, browsing, or using the TrustScope platform, website, APIs, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy, which is incorporated herein by reference.

1.2 If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind such Organization to these Terms. In such cases, "you" and "your" shall refer to both you individually and the Organization.

1.3 If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

1.4 You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

2.1 TrustScope provides a comprehensive AI agent governance, observability, and compliance platform designed for enterprise use. Our Service includes, but is not limited to:

  • Real-time monitoring and observability of AI agent behavior and outputs
  • Policy enforcement and governance controls for AI systems
  • Trace logging and audit trail capabilities
  • Compliance monitoring and reporting tools
  • API access for integration with existing systems
  • Dashboard and analytics for AI system performance
  • Alert and notification systems for policy violations

2.2 Service features and availability may vary depending on your subscription tier. TrustScope reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

2.3 TrustScope may offer beta features or early access programs. Such features are provided "as is" without warranty and may be modified or discontinued without notice.

3. Account Registration

3.1 To access certain features of the Service, you must register for an account. When registering, you agree to provide accurate, current, and complete information as prompted by the registration process.

3.2 You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You agree to notify TrustScope immediately of any unauthorized use of your account or any other breach of security.

3.3 You are solely responsible for all activities that occur under your account, whether or not authorized by you. TrustScope shall not be liable for any loss or damage arising from your failure to protect your account credentials.

3.4 You may not share your account credentials with any third party or allow multiple individuals to use the same account, unless expressly permitted by your subscription plan.

3.5 TrustScope reserves the right to refuse registration, cancel accounts, or remove or edit content in its sole discretion.

4. Subscription and Payment

4.1 Subscription Plans. TrustScope offers various subscription plans with different features and pricing. The specific terms of your subscription, including pricing and features, are set forth in your Order Form or the pricing page at the time of purchase.

4.2 Billing Cycles. Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. Your subscription will automatically renew at the end of each billing period unless cancelled prior to the renewal date.

4.3 Payment Terms. All fees are payable in U.S. dollars unless otherwise specified. You authorize TrustScope to charge your designated payment method for all fees due. Payment is due upon receipt of invoice for enterprise customers with net-30 payment terms.

4.4 Taxes. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, excluding taxes based solely on TrustScope's income.

4.5 Refund Policy. All fees paid are non-refundable except as expressly set forth herein or as required by applicable law. No refunds or credits will be provided for partial months of service, upgrade/downgrade refunds, or unused features.

4.6 Price Changes. TrustScope reserves the right to modify pricing at any time. For existing subscriptions, price changes will take effect at the start of the next billing cycle following at least thirty (30) days' written notice to you. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

4.7 Late Payment. If any payment is not received by TrustScope by the due date, TrustScope may, without limiting its other rights and remedies: (a) charge interest on the past due amount at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less; and (b) suspend or terminate your access to the Service.

5. Acceptable Use Policy

5.1 You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate TrustScope, a TrustScope employee, another user, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service

5.2 API Usage. If you access the Service via API, you agree to:

  • Comply with all rate limits and usage quotas as specified in your subscription plan
  • Not attempt to circumvent any rate limiting or access controls
  • Not use automated means to scrape, harvest, or extract data beyond your authorized use
  • Not share API keys or tokens with unauthorized parties
  • Implement reasonable security measures to protect API credentials

5.3 Prohibited Activities. You expressly agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use the Service to develop a competing product or service
  • Resell, sublicense, or otherwise commercially exploit the Service without authorization
  • Introduce viruses, malware, or other harmful code into the Service
  • Use the Service to process, store, or transmit any data that infringes third-party intellectual property rights

5.4 TrustScope reserves the right to investigate and take appropriate legal action against anyone who violates this provision, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. Intellectual Property

6.1 TrustScope's Intellectual Property. The Service, including all content, features, functionality, software, text, displays, images, video, audio, design, and the arrangement thereof, are owned by TrustScope, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use Service. Subject to your compliance with these Terms, TrustScope grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during your subscription term.

6.3 Your Data. You retain all right, title, and interest in and to any data, content, or information that you submit, upload, or transmit to or through the Service ("Your Data"). You grant TrustScope a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, and display Your Data solely to the extent necessary to provide the Service to you.

6.4 Feedback. If you provide TrustScope with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you hereby assign to TrustScope all rights in such Feedback and agree that TrustScope may use and fully exploit such Feedback without restriction or compensation to you.

6.5 Trademarks. "TrustScope" and all related names, logos, product and service names, designs, and slogans are trademarks of TrustScope or its affiliates. You may not use such marks without our prior written permission.

7. Data and Privacy

7.1 Privacy Policy. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

7.2 Data Processing. To the extent that TrustScope processes personal data on your behalf, we will do so in accordance with our Data Processing Agreement, which is available upon request for enterprise customers.

7.3 Data Security. TrustScope implements appropriate technical and organizational measures designed to protect Your Data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet or electronic storage is 100% secure.

7.4 Data Location. Your Data may be processed and stored in the United States or other countries where TrustScope or its service providers maintain facilities. By using the Service, you consent to the transfer of Your Data to such locations.

7.5 Aggregated Data. TrustScope may collect and use aggregated, anonymized data derived from your use of the Service for purposes such as improving the Service, conducting research, and generating industry benchmarks. Such data will not identify you or any individual.

8. Service Level Agreement

8.1 Uptime Commitment. TrustScope commits to a monthly uptime percentage of 99.9% for the Service ("Uptime Commitment"). "Uptime" means the percentage of time during a calendar month that the Service is available and operational.

8.2 Exclusions. The Uptime Commitment does not apply to:

  • Scheduled maintenance windows (typically conducted during off-peak hours with at least 48 hours' notice)
  • Emergency maintenance required to protect the security or integrity of the Service
  • Downtime caused by factors outside TrustScope's reasonable control, including force majeure events
  • Issues resulting from your equipment, software, network connections, or other infrastructure
  • Suspension or termination of your account in accordance with these Terms
  • Beta features or services not generally available

8.3 Service Credits. If TrustScope fails to meet the Uptime Commitment in any calendar month, eligible customers may request service credits as follows:

  • 99.0% - 99.9% uptime: 10% credit of monthly fees
  • 95.0% - 99.0% uptime: 25% credit of monthly fees
  • Below 95.0% uptime: 50% credit of monthly fees

8.4 Credit Request. To receive service credits, you must submit a request to support@trustscope.ai within thirty (30) days of the end of the affected month. Service credits are your sole and exclusive remedy for any failure to meet the Uptime Commitment.

8.5 Maintenance Windows. TrustScope typically performs scheduled maintenance during weekends between 2:00 AM and 6:00 AM Pacific Time. We will provide at least 48 hours' notice for scheduled maintenance that may affect Service availability.

9. Limitation of Liability

9.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRUSTSCOPE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9.2 Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUSTSCOPE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER TRUSTSCOPE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUSTSCOPE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO TRUSTSCOPE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

9.4 Basis of the Bargain. THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND SHALL APPLY NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. THE LIMITATIONS SHALL APPLY EVEN IF TRUSTSCOPE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.5 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, TrustScope's liability shall be limited to the maximum extent permitted by law.

10. Indemnification

10.1 Your Indemnification Obligations. You agree to indemnify, defend, and hold harmless TrustScope and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Any content or data you submit, upload, or transmit through the Service
  • Any unauthorized access to or use of the Service using your account credentials

10.2 Indemnification Procedure. TrustScope will promptly notify you of any claim subject to indemnification and will provide reasonable cooperation in the defense of such claim at your expense. TrustScope reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

10.3 Settlement. You shall not settle any claim that adversely affects TrustScope or imposes any obligation on TrustScope without TrustScope's prior written consent.

11. Termination

11.1 Termination by You. You may terminate your account at any time by providing written notice to TrustScope or through the account settings in the Service. Termination will be effective at the end of your current billing period. You will not receive a refund for any unused portion of your subscription.

11.2 Termination by TrustScope. TrustScope may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. TrustScope may also terminate your account with thirty (30) days' written notice for any reason or no reason.

11.3 Effect of Termination. Upon termination:

  • Your right to access and use the Service will immediately cease
  • All licenses granted to you under these Terms will immediately terminate
  • You remain liable for all fees incurred prior to termination
  • Provisions of these Terms that by their nature should survive termination shall survive

11.4 Data Export Period. Following termination, you will have thirty (30) days to export Your Data from the Service. After this period, TrustScope may delete Your Data in accordance with our data retention policies. TrustScope has no obligation to retain Your Data after this 30-day period and shall have no liability for deletion of Your Data.

11.5 Survival. Sections 6 (Intellectual Property), 7 (Data and Privacy), 9 (Limitation of Liability), 10 (Indemnification), 11.3 (Effect of Termination), 12 (Governing Law), and 13 (Dispute Resolution) shall survive any termination or expiration of these Terms.

12. Governing Law

12.1 These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act shall not apply to these Terms.

12.3 Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in Wilmington, Delaware, and each party irrevocably submits to the exclusive jurisdiction of such courts.

13. Dispute Resolution

13.1 Informal Resolution. Before initiating any formal dispute resolution proceeding, the parties agree to first attempt to resolve any dispute informally for at least thirty (30) days. The informal dispute resolution process begins when one party provides written notice to the other party describing the dispute.

13.2 Binding Arbitration. If the parties are unable to resolve a dispute informally, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, before a single arbitrator.

13.3 Arbitration Procedures. The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order or grant, including specific performance. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

13.4 Class Action Waiver. YOU AND TRUSTSCOPE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.5 Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

13.6 Costs. Each party shall bear its own costs and attorney's fees in connection with arbitration, except that the prevailing party in any arbitration shall be entitled to recover reasonable attorney's fees and costs from the non-prevailing party.

14. Changes to Terms

14.1 TrustScope reserves the right to modify these Terms at any time in its sole discretion. If we make material changes to these Terms, we will provide notice to you by: (a) posting the updated Terms on our website with a new "Last Updated" date; (b) sending an email to the address associated with your account; or (c) providing notice through the Service.

14.2 For material changes, we will provide at least thirty (30) days' advance notice before the changes become effective. Non-material changes may take effect immediately upon posting.

14.3 Your continued use of the Service after the effective date of any changes to these Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

14.4 It is your responsibility to review these Terms periodically for changes. We recommend bookmarking this page and checking it regularly.

16. Miscellaneous

16.1 Entire Agreement. These Terms, together with the Privacy Policy and any Order Forms, constitute the entire agreement between you and TrustScope concerning the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

16.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

16.3 Waiver. The failure of TrustScope to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without TrustScope's prior written consent. TrustScope may assign these Terms without restriction.

16.5 Force Majeure. TrustScope shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.6 No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

16.7 Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
